Terms and Conditions

  1. All orders are subject to prior written acceptance or acknowledgment by SIKO. Quotations are offered for written acceptance within thirty (30) days from date (unless otherwise stated) but are subject to change without notice at any time before acceptance. If any order as accepted by SIKO contains printed, stamped or other provisions inconsistent or in conflict with the terms and conditions hereof the terms and conditions hereto shall control, unless otherwise specifically stated by SIKO in writing. All clerical errors are subject to change.
  2. Delivery to common carrier or licensed trucker shall constitute delivery to Buyer and all risks of loss or damage in transit shall be borne by Buyer.
  3. SIKO reserves the right to make delivery of production orders in installments; all such installments shall be separately invoiced and paid for without regard to separate delivery; and delay in delivery of any installment shall not relieve Buyer of its obligation to accept remaining deliveries or to pay for prior installment shipments.
  4. SIKO reserves the right to at any time revoke any credit extended to Buyer because of Buyer's failure to pay for any goods when due or for any reason deemed by SIKO to be good and sufficient. SIKO also reserves the right to require advance payment or satisfactory security prior to shipment if SIKO deems Buyer's financial responsibility to be unsatisfactory; and if Buyer fails to make payments in accordance with the terms hereof or to comply with any provision hereof, SIKO may at its option (in addition to other remedies) cancel any unshipped portion of this order, but Buyer shall remain liable for all unpaid accounts.
  5. Until payment in full SIKO retains a security interest in the goods covered by this order together with all cash and non-cash proceeds thereof, and Buyer will execute such financing statements and other documents as are necessary to protect this security interest against the right to third parties.
  6. SIKO shall not be liable for any failure to deliver or delays in delivery occasioned by causes beyond its control, including without limitation strikes, lockouts, fires, embargoes, riots, war or other outbreak of hostilities, acts of God, inability to obtain shipping space, machinery breakdown, delay of carrier or suppliers and government acts and regulations.
  7. This order shall not be canceled by Buyer for delays in delivery or other causes until ten (10) days after written notice of such intention shall have actually been received by SIKO. All claims for alleged defects in goods shall be deemed waived unless made in writing delivered to SIKO within ten (10) days after receipt of goods by Buyer. Goods claimed to be defective shall not be returned to SIKO nor marked, stamped or otherwise mutilated without SIKO's prior written approval and a reasonable opportunity to inspect the goods. Acceptance of returned goods by SIKO's receiving department shall not bind SIKO nor have any force or effect unless acceptance is made by SIKO in writing.
  8. SIKO warrants all goods covered by this order to be free from defects in material and workmanship, which warranty is in lieu of and excludes all other warranties not expressly set forth herein, whether expressed or implied, by operation of law or otherwise, including but not limited to any implied warranty of mechantability or fitness. SIKO shall not be liable for consequential loss, damage or expense directly or indirectly, arising from the sale, use or handling of goods or from any other cause relating thereto, its liability hereunder in any case being expressly limited to the replacement (in the form originally shipped) of goods which do not comply with this agreement or, at SIKO's election, to the replacement of or crediting Buyer with the amount of such purchase price for returned goods, whether such claims are for breach of warranty or negligence. SIKO reserves the right to charge a restocking fee on any returned goods.
  9. RETURNS. Any return due to OUR error will receive credit in full including return shipping charges. All others returns are subject to a minimum of 25% restocking charge within the return period. No returns will be accepted without a return goods authorization number (RGA). All returns must be sent back to SIKO via UPS or otherwise instructed. No returns will be accepted on modified parts to customers specifications. No returns will be accepted after 60 days of parts received. All authorized returns must be sent back to SIKO via UPS with the return shipping charges prepaid and with reference to our authorization number and invoice number. On the return merchandise from a foreign country, including Canada, we will not be responsible for any brokerage fees which may be incurred regardless of the reason for the return.
  10. All taxes and excises of any nature whatsoever now or hereafter levied by any governmental body upon the sale or transportation of any goods covered hereby shall be paid and borne by Buyer.
  11. Modifications, changes, deferred shipments, cancellations or additions will be effective only if accepted by SIKO in writing and then only upon terms that will indemnify SIKO against all costs and losses which shall include without limitation full payment for completed work and work in progress, raw materials and overhead charges in accordance with SIKO's normal accounting methods. SIKO may, in its sole discretion, consider any hold order or change in delivery schedules which defers any shipment for fifteen (15) days or more as a deferred shipment for the purposes of this paragraph.
  12. The foregoing terms and conditions and the terms and conditions on the face side hereof represent the complete agreement between Buyer and SIKO and no terms or conditions which in any way add to, modify or otherwise alter the provisions stated herein shall bind SIKO unless in writing and signed and approved by an authorized officer at its home office. No modification of these terms shall be effected by SIKO's shipment of goods following receipt of Buyer's purchase order, shipping request or similar forms which contain terms or conditions which conflict or are inconsistent with the terms and conditions hereof.
  13. BACKORDERS. All items temporarily out of stock will be back ordered. The balance of your order will be shipped to you the day we receive your parts.
  14. PRICING POLICY. We do our best to hold prices, however, all prices are subject to change without notice. Prices on scheduled shipments will be based upon the quantity releases for each shipment.
  15. SPECIFICATIONS. All specifications are subject to change without notice.
  16. This contract and the foregoing conditions shall be deemed to be made and construed under the laws of the State of Michigan, USA
